Terms of Service &
Master Service Agreement

◆ 1. Preamble & Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Client”, “User”, or “You”) and Capalence Digital Technologies LLP (“Capalence Digital”, “Agency”, or “We”), governing access to our website (https://capalencedigital.com), diagnostic audit tools, proprietary calculators, and all commercial engagements executed hereunder.

By accessing our web platforms, submitting inquiry forms, or entering into a Statement of Work (SOW), you confirm that you have read, understood, and agreed to be bound by these Terms.

◆ 2. Scope of Professional Advisory & Services

Capalence Digital provides high-performance growth engineering across eight core pillars:

• Performance Acquisition: High-intent Google Search, Performance Max, and Meta Ads scaling architectures.
• Search Engine & AI Optimization (AEO/GEO): Technical infrastructure, structured Knowledge Graphs, and generative citation strategies.
• Bespoke Web & Software Engineering: Custom WordPress architecture, headless integrations, and conversion-engineered interfaces.
• Autonomous AI & Workflow Automations: Enterprise CRM pipelines, multi-touch lead routing, and business intelligence dashboards.

All specific deliverables, timelines, target milestones, and mutual obligations are formalized within individualized Statements of Work (SOW).

◆ 3. Intellectual Property Rights & Deliverable Ownership

Client Ownership: Upon receipt of full and final contractual settlement, all final creative assets, custom codebase deliverables, advertising copy, and proprietary tracking configurations developed specifically for the Client transfer fully to Client ownership.

Agency Pre-Existing IP: Capalence Digital retains all rights, title, and ownership in pre-existing diagnostic frameworks, Digital Growth Score™ algorithms, internal automation scripts, and general methodologies utilized across industry engagements.

◆ 4. Performance Metrics, ROAS & Warranties

While Capalence Digital applies battle-tested mathematical modeling, rigorous testing frameworks, and 20+ year veteran practices, the digital marketing landscape is subject to dynamic third-party auction volatility (e.g. Google Ads, Meta Ads bidding systems) and platform policy modifications. As such, historical case study ROAS returns (such as 4.2x to 5.2x ROAS) represent verified client achievements and do not constitute an unconditional guarantee of future outcomes.

◆ 5. Confidentiality & Non-Disclosure

Both parties agree to treat all business plans, ad budgets, performance dashboards, and proprietary client customer data with utmost confidentiality, maintaining protections at least equivalent to those applied to their own trade secrets.

◆ 6. Governing Law & Judicial Jurisdiction

These Terms and any contractual disputes arising hereunder shall be construed and governed in accordance with the substantive laws of the Republic of India. The courts situated in Gandhinagar, Gujarat, India shall maintain exclusive jurisdiction over any proceeding arising out of or in connection with these Terms.
